In order to implement the “Opinions of the General Office of the State Council on Accelerating the Development of New Forms and New Models of Foreign Trade” (Guo Ban Fa [2021] No. 24), the Ministry of Commerce and other 4 units on printing and distributing the “Notice on Relevant Measures to Support the Development of Cross-border E-commerce Overseas Warehouses” (Shang Shang Han [2023] No. 597), and the Provincial Department of Commerce and other 8 departments issued the “Notice on Several Measures to Promote the High-quality Development of Cross-border E-commerce Overseas Warehouses” (Yue Shang Dian Han [2023] No. 110), and solidly promote the healthy and rapid development of cross-border e-commerce, To support enterprises to accelerate the construction and layout of overseas warehouses, the Provincial Department of Commerce will identify the fourth batch of public overseas warehouses in Guangdong Province. The relevant matters are hereby notified as follows:
- Definition of public overseas warehouse
Public overseas warehouse refers to the overseas warehouse or transit warehouse established by a relatively mature logistics and warehousing service provider in accordance with the laws and regulations of the destination country (region), relying on information system management to help foreign trade operators complete the whole cross-border logistics mode from domestic collection, export tax rebates, international transportation and customs clearance, overseas warehousing management and destination country (region) distribution.
2. Objects of Designation
Enterprises registered in Guangdong Province have established and operated public overseas warehouses overseas (including Hong Kong, Macao, and Taiwan).
3. Identification Requirements
(1) The conditions that the applicant should have
- Registered in Guangdong Province in accordance with the law for more than 2 years, with corporate legal personality, good business performance, and no serious violation of the laws and regulations of China and the host country in the past 2 years:
- Have the ability to build and operate storage facilities in overseas countries (regions);
- Familiar with the relevant customs policies and regulations, taxation, legal affairs, etc. of the destination country (region);
- The equity relationship of the declaring enterprise’s foreign investment and operation is clear, and the declaring enterprise needs to directly or indirectly hold more than 50% of the shares of the overseas warehouse and overseas investment entity;
- Have an overseas investment certificate of the enterprise;
- Positive results have been achieved in the implementation of the Notice of the Ministry of Commerce and other 4 units on printing and distributing the “Notice on Relevant Measures to Support the Development of Cross-border E-commerce Overseas Warehouses” (Shang Mao Han [2023] No. 597).
(2) The conditions that should be met by public overseas warehouses
- Operated overseas for more than 2 years;
- It can provide at least 3 services in the comprehensive services such as customs clearance logistics, warehousing sorting, warehousing quality inspection, local distribution, display, after-sales maintenance, return and exchange management, information data services, marketing promotion, finance and insurance, etc.;
- Have a complete information management system, the information system should include ERP (enterprise resource management system), WMS (warehouse management system), ERP has but is not limited to order management, inventory management, head transportation management, billing and settlement and other functions;
- Realize docking with domestic and foreign e-commerce platforms and match supply and demand information;
- The storage area is more than 5,000 square meters (refers to a single storage area);
- There are more than 50 foreign trade business entities in the service, and the proportion of Guangdong enterprises is not less than 60%.
4.the application materials
(1) Application Form for Public Overseas Warehouse in Guangdong Province (Annex 1);
(2) Letter of commitment for the authenticity of the application materials (Annex 2);
(3) Detailed information materials such as the construction, operation and management of public overseas warehouses, service functions, and business development plans for the next two years;
(4) Declare the business license of the enterprise legal person, the tax payment certificate (for the whole year of 2022, January to October 2023), and the business license or business license of the public overseas warehouse;
(5) Certificate of overseas investment of the enterprise (a copy with the official seal);
(6) The lease contract or cooperation agreement of the public overseas warehouse, as well as the relevant payment financial vouchers (if it is a cooperation, the financial vouchers for the purchase or lease payment of the partner shall be provided) and other supporting materials;
(7) Supporting materials such as public overseas warehouse ERP and WMS system application development contracts, system screenshots, etc.;
(8) A description of the docking situation between the public overseas warehouse and the public service platform and customs system of the comprehensive test zone and the system screenshots;
(9) Relevant cooperation agreements or filing materials for customs clearance, tax declaration, legal affairs and other related to the reporting enterprise or its partners;
(10) The contract (agreement) signed between the reporting enterprise and the foreign trade business entity, as well as the proof of the payment of service fees related to the public overseas warehouse by the foreign trade business entity;
(11) Description of the monthly invoice volume from January to December 2022 and January to October 2023, and system screenshots of the invoice volume in 2022 and January, June and October 2023;
(12) Floor plans, physical photos, and map positioning screenshots of public overseas warehouses;
(13) Videos introducing public overseas warehouses, including the external environment, internal environment, personnel using operating systems, and goods in the overseas warehouse;
(14) Implement the notice of the Ministry of Commerce and other 4 units on printing and distributing the “Notice on Relevant Measures to Support the Development of Cross-border E-commerce Overseas Warehouses” (Shang Mao Han [2023] No. 597) “Overseas warehouse enterprises go out in groups to enhance their bargaining power with international head logistics and delivery enterprises.” Innovate the delivery service model, and deploy self-pickup cabinets and other equipment in the places where consumers are concentrated. Overseas warehouse enterprises make full use of the traffic rights resources with major trading partners, and actively apply for the construction of cross-border freight lines”.
- Declaration requirements
(1) The number of public overseas warehouses declared by each enterprise shall not exceed 3, and its associated enterprises shall not declare repeatedly; It has been recognized as a provincial public overseas warehouse.
(2) Requirements for application materials. First, the materials submitted by the enterprise should be in 6 copies, printed according to A4 paper specifications, glued-bound into a book, and stamped with a seal. Second, the content of the materials should be arranged in the order of “4. Items (1) to (14) of the application materials”, with a table of contents and page numbers, and the page numbers of the corresponding materials should be clear. Third, the application materials involving foreign language documents need to be provided with Chinese translations, and the translations are stamped with the company’s official seal. Fourth, the electronic version of the application materials should be provided in the catalog index format of the PDF document, together with the video data burned CD (in duplicate) with the paper materials.
(3) The paper and electronic materials declared by each enterprise should be submitted to Room 1212, 12th Floor, Great China International Exchange Square, No. 1 Fuhua 1st Road, Futian District, Shenzhen, before getting off work on the afternoon of December 13, 2023.
